Terms of Service

These terms apply to the use of Microsoft 365 Files for HighLevel, a product by Merxence.

Service

The product provides Microsoft 365 and SharePoint workflow actions inside HighLevel. Microsoft 365 remains the system of record for customer files. The product depends on HighLevel, Microsoft Graph, SharePoint, and supporting infrastructure that Merxence does not control.

Your accounts and permissions

You are responsible for the HighLevel account, Microsoft 365 tenant, Microsoft Entra application, credentials, SharePoint sites, permissions, and workflow configuration used with the product.

You must have authority to connect the relevant systems and process the files and data used by your workflows. You are responsible for selecting appropriate SharePoint site grants and for protecting the Client Secret and other credentials.

Acceptable use

Do not use the product to violate law, third-party rights, platform terms, access controls, or security policies. Do not attempt to bypass product restrictions, probe other customers, interfere with service operation, or use the service to distribute malicious content.

Subscriptions, trials, and billing

When the product is purchased through the HighLevel Marketplace, the plan, price, trial period, billing frequency, included Locations, and any additional charges are the terms shown in the Marketplace purchase flow at the time of purchase.

HighLevel Marketplace billing and any HighLevel platform execution charges are separate from Microsoft licensing and other third-party costs.

Changes to the service

We may improve, add, remove, or change features to maintain security, reliability, platform compatibility, or product quality. Published HighLevel action versions are treated as immutable; behavior changes that require a new action contract are introduced through a new version.

Third-party services

HighLevel, Microsoft 365, Microsoft Graph, SharePoint, Cloudflare, and other providers are independent services. Their availability, limits, security controls, pricing, and terms may change and can affect the product.

Customer data

Your files remain in your Microsoft 365 environment except for the temporary binary transit required by the Upload File action. Merxence does not operate a persistent vendor file store for the product. See the Privacy Policy and Security documentation for the current architecture.

Support

Support is provided through support@merxence.com. Never send secrets, tokens, passwords, private keys, signed/private links, or confidential customer files in a support request.

Availability and warranties

The service is provided on an as-available basis and may be affected by third-party outages, API changes, throttling, customer configuration, network conditions, or other factors outside Merxence’s control. To the extent permitted by applicable law, no guarantee is made that the service will be uninterrupted or error-free.

Liability

To the extent permitted by applicable law, Merxence is not responsible for indirect, incidental, special, consequential, or business-interruption losses arising from use of the product, third-party services, customer configuration, or unauthorized credential use. Nothing in these terms excludes liability that cannot legally be excluded.

Intellectual property

Merxence retains its rights in the product, documentation, branding, and original software. Microsoft, SharePoint, Microsoft 365, HighLevel, and other third-party names and marks belong to their respective owners. The product is independently developed and is not endorsed by Microsoft or HighLevel.

Termination

You may stop using the product, disconnect Microsoft access, remove site grants, and uninstall the Marketplace app. Subscription cancellation and billing effects are governed by the Marketplace purchase terms shown to your account.

Changes to these terms

We may update these terms as the product, platforms, or legal requirements change. The current version will be posted at this URL with its effective date.
